Article 1 - Designation
The name of this nonprofit organization shall be FAITHFUL CIRCLE QUILTERS (FCQ) a 503 (C) non-profit organization in compliance with IRS rules. Contributions to FCQ are not tax deductible.

Article 2 - Purpose
The purpose of FCQ is to perpetuate the heritage of quilting and to promote and stimulate fellowship and education among those interested in quilting.

Article 3 - NQA Affiliation
Section 1. Faithful Circle Quilters is affiliated with the National Quilting Association, Inc., and was chartered as Chapter 10 of that Association in 1971.
Section 2. Membership in NQA is not required for Faithful Circle membership. NQA requires at least five current memberships from each Chapter to maintain affiliation.
Section 3. The current FCQ president shall be the NQA Chapter Coordinator.

Article 4 - Membership
Section 1. Membership in the Faithful Circle Quilters shall be by a written application and payment of the appropriate dues. Dues shall not be refundable.
Section 2. Membership shall consist of daytime and evening members, each member having equal voting rights, responsibilities and privileges. Members shall adhere to the standing rules, policies and procedures.
Section 3. The daytime group and the evening group shall each determine the maximum number of their members.
Section 4. The membership year shall run from November 1 of the current year through October 31 of the following year.

Article 5 - Dues
Dues may be increased at such time as it is deemed necessary by a majority vote of the membership.

Article 6 - Meetings
Section 1. An annual meeting of FCQ shall be held in order to hold elections, receive reports from officers, committee chairmen, and to conduct business.
Section 2. A business meeting shall be held the first meeting of each month. Short meetings may be held on a weekly basis for the purpose of announcements, introducing guests, show and tell, etc.

Article 7 - Officers and Committees
Section 1. The Daytime and Evening groups shall elect as follows:
A. President - One President to represent both groups.
B. Vice-president / Coordinator - One for each group.
C. Secretary - One for each group.
D. Treasurer - One for each group.
Section 2. Term of office shall be for one (1) year.
Section 3. Committees
The Chairpersons of committees shall be appointed by the President. They shall be approved by a majority of the elected Officers. The committees shall be:
Standing Committees: (A) Education, (B) Membership, (C) Quilt Show, (D) Newsletter
Regular Committees: (A) History, (B) Library, (C) Travel, (D) Love Quilts

Article 8 - Executive Board
Section 1. The Executive Board shall conduct the regular business of the organization.
Section 2. The Executive Board shall meet at least bimonthly to transact all ordinary business of the organization.
Section 3. The voting members of the Executive Board shall consist of the elected officers and the Standing Committee chairpersons. Each Standing Committee shall have one vote. Each voting member shall have one vote.
Section 4. Any member of the organization may attend board meetings.
Section 5. The immediate past-president shall be an ex-officio member of the board without a vote.
Section 6. A quorum for conducting the business of the Executive Board shall be not less than 51% of the members of the board empowered to vote.
Section 7. Special meetings of the board may be called by the President, or by written request of three (3) Executive Board Members.
Section 8. Any Board member who does not comply with assigned responsibilities may be relieved of office by majority vote of the Executive Board. Appointment of a replacement of an elected official shall be made by the president and approved by a majority vote of the general membership. Replacement of standing committed chairs shall be in accordance with Article 7, Section 3.
Section 9. Elected officers shall serve no more than three (3) consecutive years on the board and no more than two (2) consecutive terms in any one office. Committee heads may succeed themselves.

Article 9 - Policies and Procedures
Section 1. Policies and procedures shall be established which specify the duties of elected officers, committee chairpersons and any other policies of the organization.
Section 2. All policies and procedures, new or revised, shall be ratified by a majority vote of the members present.
Section 3. Daytime and Evening groups shall each establish, maintain and revise their own standing rules consistent with the current by-laws of the organization.
Section 4. Standing Rules, new or revised, shall be ratified by a majority vote of the members present of the pertinent group.

Article 10 - Elections
Section 1. Officers shall be elected each year at the annual meeting and their term of office shall be from installation in June of that year to the succeeding installation the following year. If election of officers cannot be held at the annual meeting, such election shall be held as soon thereafter as may be convenient.
Section 2. The executive board shall appoint a Nominating Committee. The Nominating Chairperson shall announce the slate of at least one candidate for each office and the dates of the election in the April newsletter. Nominations from the floor shall be entertained at both Daytime and Evening meetings no later than the third week of April. Nominations may be made from the floor by any member, with the consent of the nominee. The amended slate of officers shall be published in the May newsletter.
Section 3. An annual meeting shall be held in May for the purpose of electing officers. The date(s) of the annual meeting(s) shall be published in the newsletter.
Section 4. Officers shall be elected by a majority vote of the members at the annual meeting or represented by a member's written ballot. Voting shall be by printed ballot if there are two or more candidates for any office or by hand vote if there is one candidate for each office.
Section 5. When an office becomes vacant, it shall be filled by recommendation of the President, subject to the approval of the general membership.

Article 11 - Audit
The organization's financial records shall be reviewed annually by two members of Faithful Circle Quilters not on the Executive Board nor connected with the accounts. The President shall appoint this Review committee to meet with the Treasurer after the close of each fiscal year or at any other time there is a complete change of Treasurer or at any other time as it is deemed necessary. The Review committee shall present its report at the first Executive Board meeting immediately following its review.

Article 12 - Disposition of Property
In the event of a dissolution, the Executive Board, with a majority vote of the membership, shall dispose of all the assets of the organization exclusively for the purpose of charitable, educational, religious, or scientific organizations, provided they qualify as an exempt organization under Section 501 (C) (3) of the Internal Revenue Code of 1076.

Article 13 - Bylaw Amendments and Revisions
These bylaws may be amended as follows:
A. May be proposed in writing by the Executive Board.
B. May be proposed in writing by a member or members.
C. May be proposed in writing by a Bylaw Revision Committee.
Proposed amendment(s) shall be distributed to the membership at least thirty (30) days in advance of the vote. Bylaws may be amended by a show of hands and carried by 2/3 majority of the members present at the meeting designated for that purpose.

Article 14 - Parliamentary Authority
The rules contained in the most current edition of ROBERT'S RULES OF ORDER REVISED shall govern the meetings of this organization in all cases in which they are consistent with these bylaws.
